SEBI Fines Coffee Day Enterprises for Rs 26 cr

The capital markets regulator Sebi fined Coffee Day Enterprises which owns Cafe Coffee Day, Rs 26 crore on Tuesday for diverting money from subsidiaries to a business connected to the owners.

The Securities and Exchange Board of India (Sebi) issued an order directing the corporation to pay the fine within 45 days.

Additionally, Coffee Day Enterprises Ltd has been instructed by Sebi to take all necessary actions to recover the full amount owed to Mysore Amalgamated Coffee Estates Ltd (MACEL) and its affiliated organisations, as well as the interest that is owed to the subsidiaries.

Further, the business must choose an impartial law firm in consultation with the NSE to take efficient action to recover the unpaid debts.

According to its 43-page judgement, Sebi discovered the misappropriation of monies of Rs 3,535 crore from 7 subsidiaries of Coffee Day Enterprises Ltd (CDEL) to Mysore Amalgamated Coffee Estates Ltd, a company connected to CDEL's owners.

Coffee Day Global, Tanglin Retail Reality Developments, Giri Vidhyuth (India) Ltd, Coffee Day Hotels and Resorts, Coffee Day Trading, and Coffee Day Econ are the seven subsidiaries.

The funds that were moved from the seven subsidiaries to MACEL ended up in the personal accounts of VGS (VG Siddhartha), his family, and other businesses, according to Sebi.

VG Siddhartha, the chairman of the Coffee Day Group, committed suicide in July 2019. According to reports, he wrote a suicide letter for the board of directors and the Coffee Day family in which he confessed to being in serious debt.

As per the court's order, the VGS family owns 91.75 percent of MACEL. Additionally, CDEL is supported by VGS' family.

The regulator highlighted that the subsidiaries have only been able to recover a pitiful amount of Rs 110.75 crore to September 30, 2022, out of the total dues of Rs 3,535 crore as of July 31, 2019.

In light of the diversion, Sebi levied fines of Rs 25 crore for violations of unfair and deceptive business practises and Rs 1 crore for violations of the LODR (Listing Obligations and Disclosure Requirements) regulations.

Despite not being named parties to the current proceedings, the directors and key management staff (past and present) of CDEL and its subsidiaries must be thoroughly investigated, according to Sebi.

The board of CDEL hired Ashok Kumar Malhotra, a retired DIG of the Central Bureau of Investigation, and Agastya Legal LLP in September 2019 to look into the company's books of finances and its subsidiaries after Siddhartha passed away.

In order to determine whether funds were moved to affiliated firms, which may have resulted in a probable violation of regulatory standards, Sebi has also launched an independent investigation into the subject.

Mumbai-based Travel Food Services (TFS), operating a travel quick service restaurant and a lounge business across airports in India and Malaysia, has filed its Draft Red Herring Prospectus (DRHP) with capital markets regulator, Securities and Exchange Board of India (SEBI) for its Rs 2,000 crore Initial Public Offering (IPO).

The IPO with a face value of Re 1 is entirely an offer for sale of up to Rs 2,000 crore by Kapur Family Trust. The offer includes reservations for subscriptions by eligible employees.

Compared to its listed industry peers like Jubilant FoodWorks, Devyani International, Sapphire Foods India, Westlife Foodworld, and Restaurant Brands Asia, Travel Food Service achieved the highest earnings per share (EPS) in fiscal 2024.

Revenue from operations increased by 30.85% to Rs 1,396.32 crore in fiscal 2024 from Rs 1,067.15 crore in fiscal 2023, attributable to an increase in its LFL Sales and Net Contract. Profit after tax increased by 18.59% to Rs 298.02 crore in fiscal 2024 from Rs 251.30 crore in fiscal 2023.

For the three months ended June 30, 2024, revenue from operations stood at Rs 409.86 crore, and profit after tax stood at Rs 59.55 crore.

The Offer is being made through the book-building process, wherein not more than 50% of the net offer is allocated to qualified institutional buyers, and not less than 15% and 35% of the net offer is allocated to non-institutional and retail individual investors respectively.

Travel Food Services launched its first travel quick-service restaurant (QSR) outlet in 2009. It is promoted by SSP Group plc (“SSP”) and its affiliates—SSP Group Holdings Limited, SSP Financing Limited, SSP Asia Pacific Holdings Limited—along with the Kapur Family Trust, Varun Kapur, and Karan Kapur. 

SSP, an FTSE 250 company listed on the London Stock Exchange, is recognized as a global leader in the Travel Food & Beverage (F&B) sector based on revenue in 2024, as per the CRISIL Report. Headquartered in Mumbai, the company leads the rapidly expanding Indian airport Travel QSR and Lounge sectors, holding the top position in terms of revenue for Fiscal 2024, according to the CRISIL Report. Its Travel QSR portfolio features a diverse selection of food and beverage (F&B) concepts tailored for travelers, including fast food, cafes, bakeries, food courts, and bars, primarily located in airports and some highway locations to cater to the needs of fast-moving customers.

In Fiscal 2024, the company commanded a 24% revenue market share (including its Associates and Joint Ventures) in the Indian airport Travel QSR sector, as highlighted by the CRISIL Report. It also managed the largest network of private airport Lounges in India as of March 31, 2024, operating 24 Lounges across eight airports and capturing a 45% revenue market share in the airport Lounge sector during the same period. From 2009 until June 30, 2024, TFS contract retention rate is at 92%.

The company’s presence spans 14 airports in India, including major hubs like Delhi, Mumbai, Bengaluru, Hyderabad, Kolkata, and Chennai, as well as three airports in Malaysia, as of June 30, 2024.

With a robust portfolio of 117 partner and in-house brands, the company operates 397 Travel QSR outlets across India and Malaysia, as of June 30, 2024. Its QSR outlets are predominantly located within airports, with select locations along highways. It also operated 31 Lounges in India and Malaysia as of the same date and expanded internationally by opening a new Lounge in Hong Kong in July 2024.

As of June 30, 2024, Travel Food Services boasts a diverse portfolio of partner brands, comprising both international and regional Indian brands, alongside its own in-house brands. The international brands include renowned names such as KFC, Pizza Hut, Wagamama, Coffee Bean & Tea Leaf, Jamie Oliver’s Pizzeria, Brioche Doree, Subway, and Krispy Kreme. The regional Indian brands in its network feature popular chains like Third Wave Coffee, Hatti Kaapi, Sangeetha, Bikanervala, Wow Momo, The Irish House, JOSHH, Adyar Ananda Bhavan, and Bombay Brasserie. Additionally, Travel Food Services has developed its own in-house brands, including Caféccino, Dilli Streat, idli.com, and Curry Kitchen.

Travel Food Services boasts the largest network of Travel QSR outlets and airport-based QSRs in India, with 313 of its 340 operational outlets located at airports and the remainder on highways, as of March 31, 2024, according to the CRISIL Report.

The Indian airport Travel QSR and Lounge sectors are projected to experience significant growth, driven by increasing traveler dwell times, the rise of low-cost carriers, and the expansion of credit card and loyalty programs. As per the CRISIL Report, the Indian airport Travel QSR market is expected to grow at a compound annual growth rate (CAGR) of 17%-19%, while the Lounge sector is forecasted to grow at a CAGR of 21%-23% between Fiscal 2024 and 2034.

Kotak Mahindra Capital Company Limited, HSBC Securities and Capital Markets (India) Private Limited, ICICI Securities Limited, and Batlivala & Karani Securities India Private Limited are the book-running lead managers and Link Intime India Private Limited is the registrar to the issue. The equity shares are proposed to be listed on the National Stock Exchange of India Limited and BSE Limited.

The biodegradable packaging market is growing rapidly, with projections estimating its value to reach USD 140.66 billion by 2029 at a CAGR of 5.97 percent from 2024 to 2029, according to Mordor Intelligence. This market shift highlights increasing global demand for compostable alternatives amid rising environmental consciousness and stricter regulations on single-use plastics.  

With this investment, Agrileaf plans to boost its production capacity and enhance its product offerings, including biodegradable dinnerware and packaging. The company operates from its facility in Dharmasthala, Karnataka, which integrates areca leaf sourcing with advanced robotics and AI-driven quality control to produce backyard-compostable products. Agrileaf aims to produce 300,000 dinnerware units daily by the end of 2025, fostering rural economic growth with over 1,000 jobs already created.

Artisanal pasta options include Fusilli Rock n Roll and Fusilli Citrus. The café’s design in Helsinki reflects Roastery’s signature philosophy of ‘Modern Indian Minimalism,’ blending traditional Indian elements with Nordic aesthetics. Blue Tokai, an Indian coffee chain, aims to achieve a threefold increase in annual revenue by 2027 before considering an initial public offering (IPO), according to CEO and co-founder Matt Chitharanjan. The company plans to expand its footprint in India’s growing Rs 25 billion ($300 million) specialty tea and coffee cafe market by opening approximately 350 cafes in cities like Hyderabad and Chennai within the next three years. Currently, Blue Tokai operates over 130 cafes and has the backing of Belgian investment firm Verlinvest.  

Our revenue run rate for this year is Rs 3.7 billion, and we are targeting Rs 10 billion by 2027,” Chitharanjan said. While an IPO could be part of the company’s long-term plans, it is not a current focus. “Market conditions will fluctuate, and we are more concerned about reaching our internal goals. Healthy profit margins will make us an attractive IPO candidate,” he added, noting that Blue Tokai’s patient investors are not pushing for a quick market debut.  

India’s coffee culture is expanding, driven by demand from affluent urban consumers who increasingly use cafes for work and meetings. Major players such as Tata Starbucks, Costa Coffee, and McDonald's McCafe are also scaling operations. Tata Starbucks, which has over 400 cafes in India, reported revenue of Rs 12.18 billion last year, while Costa Coffee, with 179 cafes, posted Rs 1.52 billion in revenue in fiscal 2024.  

Despite the competitive landscape, Chitharanjan is confident about Blue Tokai’s position. “We’re not at a stage of the market where there’s a lot of competitive pressure. It’s more about growing the overall market pie, rather than stealing share from each other,” he said.  

Since its inception in 2013, Blue Tokai has raised $81 million and is focused on long-term growth in the specialty coffee segment. While India's stock market has seen fluctuations, including its worst monthly performance in October since March 2020, the company remains committed to its expansion and revenue goals.
